As used in this E-Sign Consent:

• “Account” means all accounts, products, or services you have with us.

• “We,” “us,” or “our” refer to PayGate Logistics (“PayGate”) and its partners and affiliates.

• “I,” “you,” or “your” mean each holder of an Account with or through us.

This E-Sign Consent disclosure covers all of your Accounts with or through us.

Consent to Electronic Communications

We would like to communicate with you using electronic means. When you agree to this E-Sign Consent Agreement (“Agreement” or “Disclosure”) and tap your acceptance in the Application, this tells us:

• You agree to receive any electronic communication from us for any purpose.

• You agree to receive an electronic version of any written notice or disclosures we must send you under law (“Legal Disclosures”). This may include, but is not limited to:

  • Periodic statements

  • Annual statements

  • Monthly statements

  • Other disclosures and notices relating to the maintenance or operation of an Account

• You agree that we may use electronic signatures and obtain them from you as part of our transactions with you.

• You understand that to receive Legal Disclosures, you must meet the Technology Requirements specified below.

How We May Send Electronic Communications

When we send electronic communication (including a Legal Disclosure), subject to applicable law, it may be delivered in the following ways:

• An update to the PayGate website or within the PayGate App

• By email, text message, or social media communication

• As a notification on mobile, tablet, or wearable devices

• Through other electronic means

We may also send notices to you by postal mail to any address you have provided.

• Electronic notices are considered received no later than the earlier of when received or posted, or 24 hours after sent.

• Notices sent by postal mail are deemed received no later than the earlier of when received or three (3) business days after mailing.

Providing Consent

You acknowledge and agree that:

• This Consent is provided in connection with a transaction affecting interstate commerce.

• It is subject to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

• You and we intend that the E-SIGN Act apply to the fullest extent possible to validate our ability to conduct business electronically.

This Consent does not apply to any Communication that we determine must be delivered in paper form under applicable law.

We reserve the right to:

• Discontinue electronic Communications

• Terminate or change the terms under which electronic Communications are provided

We will provide notice of any such change as required by law. Your continued use of the Services after notice confirms your consent to those changes.

Acknowledgement of Consent

Before continuing your application, you will be required to acknowledge acceptance of this Consent. By doing so, you confirm that:

• You provide affirmative consent to electronic Communications

• You meet the Technology Requirements

• You can receive, retain, and view electronic documents

• You have a current and valid email address

Technology Requirements

To receive electronic communications, including Legal Disclosures, you must have:

• A computer or mobile device (iPhone SE – 1st generation or newer) with an internet connection

• iOS 13 or newer

• A web browser with 128-bit encryption and cookies enabled

• A valid email address and phone number

• Sufficient storage space to save Legal Disclosures or an installed printer to print them

• The ability to view and retain PDF (Portable Document Format) files

We may change these requirements and will notify you of any material changes.

Paper copies will be mailed to you at no cost.

Withdrawing Consent

You may withdraw your Consent at any time by emailing help@paygatelogistics.com.

If you withdraw consent:

• We may immediately suspend or terminate your Account

• You remain responsible for any amounts owed

• Previously delivered electronic communications remain legally valid and enforceable

Withdrawal will be effective after a reasonable processing period. No fee will be charged for withdrawal or paper communications.

Updating Your Records

You must promptly notify us of any changes to:

• Your email address

• Contact information

• Any information related to your Account or this Consent

Updates can be made in the PayGate App or by contacting us using the details above.

Saving and Reviewing This Consent

This Agreement may be printed and saved for your records.
